Your Rights as a BBA Member
1. Voting Rights
- One vote per member business at all General Meetings
- Right to elect Board of Directors at AGM
- Right to approve annual fees and strategy
- Right to call EGM (with 25% of members)
2. Representation Rights
- Appoint one Representative to act on your business’s behalf
- Nominate a proxy with 24 hours notice
- Attend and observe Board meetings
- Speak at meetings with Chair’s permission
3. Participation Rights
- Attend all member meetings and events
- Access to all BBA services and benefits
- Use BBA branding with Board approval
- Receive all member communications
4. Appeal Rights
- Right to appeal membership termination to EGM within 14 days
- Right to raise concerns at quarterly consultations
- Right to propose agenda items for AGM
Your Responsibilities as a Member
1. Financial Obligations
- Pay membership fee of £10 per month
- Keep payments up to date (termination after 3 months arrears)
- No refund of fees upon termination
- Give 30 days notice for resignation
2. Governance Participation
- Appoint and maintain a named Representative
- Ensure Representative or proxy attends key votes
- Participate constructively in meetings
- Support democratic decisions once made
3. Professional Conduct
- Act in accordance with BBA objectives
- Maintain professional standards
- Not bring the Association into disrepute
- Declare conflicts of interest
4. Operational Requirements
- Maintain premises in Brackley
- Provide current contact details
- Update information when it changes
- Respond to important communications
Membership Categories
Full Membership
- Eligibility: Any business, sole trader, or organisation operating in Brackley
- Voting: Full voting rights
- Board: Can stand for election
- Services: Access to all benefits
Associate Membership
- Eligibility: Community or voluntary organisations
- Voting: No voting rights
- Board: Cannot stand for election
- Services: Attend meetings and events
Meeting Attendance
Required Attendance
- AGM - Essential for voting on key decisions
- EGM - When called for important matters
Optional Attendance
- Monthly Board meetings (as observer)
- Quarterly consultation meetings
- Networking and training events
Use of BBA Resources
Permitted Use
- BBA logo on your marketing (with approval)
- Listing in business directory
- Participation in joint marketing
- Access to member-only resources
Restrictions
- No use of BBA name without authorization
- No claiming to speak for BBA
- Respect confidential information
- Follow brand guidelines

Termination
Voluntary Resignation
- 30 days written notice required
- Fees paid up to resignation date
- Return any BBA property
- Remove BBA branding from marketing
Involuntary Termination
Membership may be terminated for:
- Non-payment (3 months arrears)
- Acting against BBA objectives
- Bringing BBA into serious disrepute
- Ceasing to operate in Brackley
Post-Termination
- No refund of paid fees
- Remove from directory
- No use of BBA branding
- No access to member benefits

These terms are supplementary to the Articles of Association of Brackley Business Association Ltd. In case of conflict, the Articles prevail.
